Our Board of Directors and its committees administer all aspects of corporate governance for WageWorks, including evaluating the performance of management and overseeing how management serves the long-term interests of shareholders and other stakeholders. We believe that a knowledgeable, independent and committed Board is critical to achieving our long-term objectives. To this end, we have established strong corporate governance by instituting the following:

  • Majority of our Board members are independent of the Company and its management;
  • All members of the Board committees (Audit, Compensation, and Nominating and Corporate Governance) are independent of the Company and its management;
  • The independent members of the Board meet regularly without the presence of management; and
  • The charters of our Board committees clearly establish their respective roles and responsibilities.
